A company secretary’s role is to assist the directors in fulfilling their legal obligations relating to the company. Normally, this involves looking after the company’s registers and carrying out filings with Companies House, although the role can vary from company to company.

  • If we require additional information from you, we will request this by email.
  • You’ll receive an electronic board resolution by email to appoint us as company secretary.
  • You’ll also receive a welcome email, providing the contact details for your account manager and information about your service.
  • We will prepare and store your company registers (these are available on request).
  • Your dedicated account manager will be on hand to answer any questions or to assist you in carrying out changes.

How long does it take to set up my service?

This service usually takes 3 to 5 working days to be set up. This includes the appointment of ourselves (RF Secretaries Limited) as secretary on Companies House, the allocation of your account manager, and the preparation of your statutory registers (which are available on request).

What is an appointed company secretary?

An appointed company secretary is a person who has been formally appointed as secretary of a company, and who is listed publicly on Companies House.

If I did not use Cheap Formations to form my company – can I still buy this service?

Yes. You do not need to have formed your company with Cheap Formations to use the Full Company Secretary Service.

How do I contact my dedicated account manager?

What are the statutory company registers?

The statutory registers are the five registers which every company must maintain by law. They contain important information about who owns and runs the company. The five statutory registers are:

  • the Register of Members (shareholders or guarantors)
  • the Register of Directors
  • the Register of Secretaries
  • the Register of People with Significant Control
  • and the Register of Charges

Failure to maintain a company’s registers is an offence and can lead to a fine being issued to the company and its officers (directors and secretaries). As part of our service, we will prepare your statutory registers based on your last confirmation statement submitted.

Do you provide any other registers in addition to the five statutory registers?

Yes. Where possible, we will also be able to provide you with a Register of Allotments and Register of Transfers on request.

How do I use my ten company changes – what is the process?

Simply email your account manager with the details of the changes you require to your company, who will let you know of any additional information we need. We will then draft your documents and deliver them to you for signing electronically via DocuSign.

Can I use the company changes on more than one company?

No. Your ten annual company changes can only be used for the company that has subscribed to our Full Company Secretary Service.

Do Cheap Formations provide any other company changes in addition to those listed?

Yes. Cheap Formations provides a comprehensive suite of company secretarial services, including Conversion to Multiple Share Classes and Reduction of Capital. Your account manager will be pleased to provide you with more information on these services.

Kindly note, these additional changes are not included as part of your ‘ten annual company changes’ and are charged at our standard rate (fees will be confirmed to you before proceeding).

What is the confirmation statement filing process?

You will be emailed a short questionnaire in the month leading up to your confirmation statement filing date. Once you have completed this questionnaire, we will check the details provided with our records and submit the confirmation statement.

Will the appointed company secretary sign documents on behalf of my company?

No. Unfortunately, we cannot sign any documents on behalf of a company.

What are the compliance requirements of this service?

All shareholders holding greater than 25% of shares must have their identities verified. We provide an electronic identity verification service to help make this process quick and simple.

Who can buy this service?

This service is offered to private companies limited by shares and guarantees. It is not available to public limited companies or limited liability partnerships.
